Membership
The Members of the Corporation shall consist of Local Coalitions working to end homelessness. A Local Coalition is a group of individuals and organizations meeting regularly to discuss how best to provide services to individuals and families who are experiencing homelessness or who are at risk of experiencing homelessness. Such individuals and organizations may include nonprofit homeless services providers, victim service providers, faith-based organizations, governments, businesses, advocates, public housing agencies, school districts, social service providers, mental health agencies, hospitals, universities, affordable housing developers, law enforcement agencies, organizations that service homeless and formerly homeless veterans, and individuals who are experiencing homelessness or who were formerly homeless.
The affairs of the Corporation (Balance of State CoC) are managed by the Board of Directors. The Corporation shall have a minimum of twenty-three (23) and maximum of twenty-seven (27) directors that convene monthly at a date and time convenient to the majority. A director’s term is three years and limited to two terms in row. The specific responsibilities and duties of board members and officers are outlined in the Corporation’s bylaws.

Representation on the board is comprised of:
Twenty-one (21) local coalition nominated directors approved by the membership
Two (2) additional Directors nominated by the Nominating Committee and approved by the membership. One director must be an individual who is homeless or was formerly homeless. One director must be the person selected to serve as the manager of HMIS.
Up to four (4) optional additional Directors nominated by the Nominating Committee and approved by the membership. These directors may be from the following categories: from an organization serving veterans, an organization serving youth, an organization serving the chronic homeless, and an organization serving victims of domestic violence.
To be eligible for Membership in the Corporation, a Local Coalition must:
Delegates
Each Member of the Corporation will be represented by one Delegate selected by the Member in accordance with its Governance Documents. The Delegate will attend Membership meetings on behalf of the Member the Delegate represents and vote on the Member’s behalf to the extent Membership voting is permitted. Each Member shall notify the Secretary of the Corporation of the identity of the Delegate selected by such Member and any subsequent change made in accordance with its Governing Documents at least thirty (30) days prior to the meeting the Delegate will first attend as the Member’s Delegate. No Delegate is permitted to represent more than one Member.
Voting
Each Member is entitled to one vote, case by the Member’s Delegate. Members are permitted to vote only on the following matters:

- Represent a defined geographic area within the Corporations’ geographic service area that does not overlap an area served by another Local Coalition;
- Include representation from both the private and non-profit sectors of the community, including individuals who are experiencing homelessness or who were formerly homeless;
- Adopt a memorandum of understanding, corporate charter, or other written document(s) acceptable to the Corporation (“Governance Documents”) setting forth the specific mechanism(s) whereby the Local Coalition will exercise the Local Coalitions’ rights and responsibilities as a Member of the Corporation, the process the Local Coalition will follow to select and remove its Delegate for membership meetings, the period of time its Delegate will serve in that capacity, and the Delegate’s responsibilities to the Local Coalition;
- Meet at least four times per calendar year; and
- Have sent a representative to at least two meetings of the Corporation’s members or Board of Directors within the prior calendar year.
Delegates
Each Member of the Corporation will be represented by one Delegate selected by the Member in accordance with its Governance Documents. The Delegate will attend Membership meetings on behalf of the Member the Delegate represents and vote on the Member’s behalf to the extent Membership voting is permitted. Each Member shall notify the Secretary of the Corporation of the identity of the Delegate selected by such Member and any subsequent change made in accordance with its Governing Documents at least thirty (30) days prior to the meeting the Delegate will first attend as the Member’s Delegate. No Delegate is permitted to represent more than one Member.
Voting
Each Member is entitled to one vote, case by the Member’s Delegate. Members are permitted to vote only on the following matters:
- The election and removal of Directors;
- The acceptable of new Members and the termination of Membership;
- The adoption of the Corporation’s annual budget (including annual Membership dues) and any change sot the budget that are proposed by the Board of Directors; and
- The adoption of any proposed amendments to the Bylaws.
